General Terms and Conditions (AGB) 


Daniel D Industrial Engines

I. General – Conclusion of Contract 


  1. These General Terms and Conditions (GTC) apply to all deliveries and services (hereinafter collectively referred to as “Deliveries”) provided by Daniel D Industrial Engines, unless otherwise agreed in writing.
    Conflicting or deviating terms and conditions of the customer shall not become part of the contract, even if not expressly objected to. 
  2. Unless otherwise agreed, a contract is concluded upon the dispatch of the customer’s order. 
  3. We retain title and copyright to all documents such as quotations, drawings and technical documentation, both in physical and electronic form. These may not be disclosed to third parties without our prior written consent. 

 


II. Prices and Payment 


  1. Unless otherwise agreed, prices are ex-works, including loading at our premises, but excluding packaging, unloading, discounts or rebates, and plus the applicable statutory VAT. 
  2. Payment is due within 14 days from the invoice date, without deduction, to the bank account specified by us. 
  3. The customer may withhold payment or set off counterclaims only if such claims are undisputed or legally established. 

 


III. Delivery and Delivery Period 


  1. The delivery period commences on the date of the order. 
  2. A delivery period shall be deemed observed if the goods have left our premises or have been declared ready for dispatch by its expiry date. 
  3. Any delivery periods or dates specified by us are approximate, unless expressly agreed in writing as binding. 
  4. In cases of force majeure or other circumstances beyond our control, including delays of our suppliers, delivery periods shall be extended appropriately. We shall not be liable for such delays. 
  5. If the customer is in default of acceptance or payment for more than four weeks after notification of readiness for dispatch, we may, after setting a grace period of 14 days, withdraw from the contract and/or claim damages. We may demand 15 % of the purchase price as liquidated damages, unless a higher or lower loss is proven. 
  6. Partial deliveries shall be permitted to a reasonable extent. 

 


IV. Retention of Title 


  1. The goods delivered remain our property until full settlement of all claims arising from the business relationship. 
  2. Any processing or combination with other goods shall be deemed performed on our behalf. We acquire co-ownership of any resulting product in proportion to the value of our goods. 
  3. The customer may resell the goods in the ordinary course of business; the customer hereby assigns to us all claims arising from such resale. 
  4. In the event of contractual breach, particularly default of payment, we may withdraw from the contract and reclaim the goods. 
  5. The customer must notify us immediately of any third-party access to the goods (e.g. seizure, attachment) and bear any resulting costs. 

 


V. Warranty for Defects (Material Defects) 


  1. We warrant that the goods conform to the agreed specifications and are free from material defects. We shall, at our discretion, repair or replace any defective parts. Replaced items become our property. 
  2. The customer shall notify us in writing without undue delay of any defects and allow reasonable opportunity for inspection and rectification. 
  3. No warranty shall apply in cases of:
    – improper storage, installation or use,
    – natural wear and tear,
    – use of unauthorised components,
    – modifications without our consent, or
    – non-observance of maintenance or installation instructions. 
  4. We shall bear reasonable transport and labour costs for the repair or replacement of defective parts.
    Costs for removing or reinstalling the entire unit shall not be reimbursed. 
  5. In the event of an unjustified defect claim, the customer shall bear all costs incurred. 
  6. Liability for damages exists only in cases of intent, gross negligence, or injury to life, body or health. 

 


VI. Intellectual Property and Third-Party Rights 


  1. Should the use of our goods infringe industrial property rights or copyrights within Germany, we shall, at our expense, procure the customer the right to continue use or modify the goods in a reasonable manner so that the infringement no longer exists. 
  2. If this cannot be achieved within a reasonable time or on reasonable terms, both the customer and we shall be entitled to withdraw from the contract. 
  3. We shall indemnify the customer from any undisputed or legally established claims of third parties resulting from such infringements. 

 


VII. Liability 


  1. We shall be liable for damages – irrespective of the legal grounds – only in cases of intent, gross negligence, or culpable injury to life, body or health. 
  2. Liability for indirect or consequential damages, loss of production, loss of profit, loss of use or third-party claims is excluded. 

 


VIII. Engineering and Project Services 


  1. Within the scope of project contracts, we provide planning and engineering services for energy systems (e.g. CHP plants, emergency power systems, large-scale storage solutions). 
  2. We do not guarantee the granting of official permits or the economic viability of projects. 
  3. Liability is limited to intent or gross negligence. 

 


IX. Applicable Law and Jurisdiction 


  1. All legal relations between us and the customer are governed exclusively by German law. 
  2. The place of jurisdiction for all disputes shall be Vaihingen Enz (Germany), provided the customer is a merchant or a legal entity under public law. 
  3. Should any provision of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by one which most closely reflects the original economic intent.
